This website located at scrapabill.com (the “Website”) and its related services (“Services”) are provided to you by Scrapabill Management Ltd. Scrapabill Inc. These Terms and Conditions of Use (“Terms of Use”) set forth the terms and conditions applicable to your access and use of the Website. For the purposes of these Terms of Use, “Scrapabill” or “we”, “us”, “our” shall refer to the party with whom you are contracting.

These Terms of Use describe your rights and responsibilities while using the website and related services. These Terms of Use govern any information, content, messages, service, software and database available through the website. 

Please read these Terms of Use very carefully before accessing or using the website.  

 

1. Website Overview

Scrapabill, an online social platform for people to connect, interact and tell financial stories to get cash support for bills such as rent, mortgage, repairs, cable, transportation, Internet, education, utilities, electricity, gas, groceries, daycare, medical, and other related payments. Scrapabill is the forum for friends and family members to achieve a common goal of getting cash support for their bills and debt overload through a mutual support system.

 

2. Eligibility to use the Website and Services

To register with our website, you must be eighteen (18) years of age or legally an adult in the jurisdiction you are based in and you are able to understand and agree to the terms, conditions, obligations, representations, and warranties set forth in these Terms of Use. If you are under the age of 18 years, or a minor, you may use our Website and Services only with the involvement of a parent or legal guardian.

If you are a user located in the United States, you are contracting with Scrapabill Inc. If you are a user in Canada or anywhere else outside the United States, you are contracting with Scrapabill Management Ltd. Please be aware that some services may not be available in your region due to third party or compliance restrictions.

 

3. Acceptance of these Terms of Use

You agree that you have read and understood these Terms of Use and agree to be bound by them, if:

  • you access this Website through a browser on your computer, laptop, or mobile device; or

  • register on our Website through a browser on your computer, laptop, or mobile device; or

  • use any Services offered on our Website.

If you do not agree to any of the terms provided in these Terms of Use, you are not authorized to use the Website or any of our Services.

We are always striving to improve our Website and Services and bring you additional functionality that you will find engaging and useful. For these reasons we may need to revise these Terms of Use from time to time. It is not possible to provide a notice to all users. You are responsible to periodically review the Terms of Use to stay updated with Terms of Use. When you continue to use and access the Website following any changes made to the Terms of Use, such use constitutes your agreement to any such revised Terms of Use.

 

4. Additional Terms

In addition, when using the Website or our Services, you will be subject to additional applicable policies such as our Privacy Policy, Cookie Policy, Legal Disclaimers, Refund Policy, Community Guidelines, Bill Scrapping and other policies as mentioned on our Website. All such terms are hereby incorporated by reference into these Terms of Service, however, in case of any conflict these Terms of Use will take precedence. Any such conflicts shall be resolved by Scrapabill, and all such determinations shall be final.

 

5. Registration Requirements

You may be required to register with Scrapabill in order to access and use our Website. If you choose to register for the Services, you agree to provide and maintain true, accurate, current and complete information about yourself and any Bill you wish to scrap. You must register on the Website using your true identity. You must keep your registration information up to date. To create an account, you must be of legal age in your jurisdiction, you must have a valid government issued ID card and you agree that Scrapabill reserves the right to verify your identity on account creation.

 

6. General Use

The content on this Website is provided for general information only and should not be relied upon or used as the sole basis for making decisions including any financial planning without consulting primary, more accurate, more complete or more timely sources of information. Any reliance on the content or any other material on this Website is at your own risk.

 

7. Transaction Charges

You acknowledge that for us to cover all our cloud hosting, administration, and other operating costs, we must deduct a 10% commission from every support amount received by you. Your bill supporters and followers shall indirectly cover your transaction fees, the commission, bill amount, and other expenses, leaving you with zero financial liability. In cases where your bill supporters no longer wish to follow your active bill, you agree to cover any outstanding payments or replace them with new followers.

 

8. Safety; Your Interactions with Other Members

Though we strive to encourage a respectful member experience through features like the double opt-in that allows members to communicate only after they have both indicated interest in one another, it is not responsible for the conduct of members on or off of the Website. You agree to use caution in all interactions with other members, particularly if you decide to communicate off the Website or meet in person. You agree that you will not provide your financial information (for example, your credit card or bank account information), or wire or otherwise send money, to other members and we shall not be responsible for any loss due to such disclosure. You understand that we do not conduct criminal background checks on its members or otherwise inquire into the background of its members. We make no representations or warranties as to the conduct of members and cannot be held liable for the same.

 

9. Limited License; Restriction on Website use

Subject to your agreement to abide by these Terms of Use, Scrapabill grants you a limited, revocable, nonexclusive, nontransferable license to view, store, bookmark, download and print the content within the Website for your personal, informational, and noncommercial use or to the extent permitted by Scrapabill.

You agree not to access or use the Website for any other purpose including, without limitation, any purpose that is prohibited by these Terms of Use or that is otherwise unlawful. You are not authorized to alter, modify, or create derivative works of any such content without first obtaining our express written permission.

 

10. Scrapabill Rights

By creating an account, you grant to us a worldwide, transferable, sub-licensable, royalty- free, right and license to host, store, use, copy, display, reproduce, adapt, edit, publish, modify and distribute information you authorize us to access from Facebook or any other third-party sites, as well as any information you post, upload, display or otherwise make available on the Website or transmit to other members. Our license to your Content shall be non-exclusive, except that our license shall be exclusive with respect to derivative works created through use of the Website and our Services. For example, Scrapabill would have an exclusive license to screenshots of the Website that include your information or posts. In addition, so that Scrapabill can prevent the use of your information outside of the Website, you authorize Scrapabill to act on your behalf with respect to infringing uses of your information taken from the Service by other members or third parties.

 

11. Links to Third Party Sites

As a convenience to you, we may provide, on our Website, links to web sites or other resources operated by other entities. If you use these sites, you will leave this Website. We have no control over such websites and resources or their privacy policies. We make no warranty or representation regarding, and do not endorse, any linked websites or the information appearing thereon or any of the products or services described thereon.

 

12. Third Party Service Providers

Scrapabill may use third party service providers, vendors, and licensors to assist in providing you with the Services. Our Website is not a money transfer platform. Scrapabill is not a money transfer business nor is our Website a money transfer platform. We are not licensed to transfer funds for or on behalf of our users. Scrapabill only partners and uses third party money transfer platforms, payment gateways, or services such as stripe.com, paymentrails.com, zumrails.com, transferwise.com, worldremit.com, veem.com, letsdeel.com. You understand that these third-party service providers could have their own terms of use and other policies which shall be applicable to you as well as us.

 

13. Account Disabling

You agree that we may at our discretion, temporarily or permanently disable your account (pending compliance investigation) if, (a) you are non-compliant with any of these Terms of Use or any other Scrapabill policy, (b) you have used the Website in any way in which it was not intended to be used, (c) you have tried to use the Website for illegal gains or purposes, (d) if we have reason to believe that information provided by you during registration is incorrect, (e) funds are being used in a prohibited manner or for reasons other than the bills they were collected against, (f) operating more than one profile at a time, (g) if you are not of legal age and do not have the consent of a parent or legal guardian, (h) if you are under investigation by local law enforcement authorities, (i) if you post the same bill more than once, (j) if you are found guilty of giving bribes, incentives, and favors to secure support, (k) If required in order to comply with a court order, subpoena, writ, injunction, or as otherwise required under applicable laws and regulations, or (l) we receive a complaint or report for copyright infringement, spamming, harassment, racism, verbal abuse, threats, fraud, and other prohibited behaviour which is against our code of ethics.

You acknowledge and agree that if we disable access to your account, you may be prevented from accessing the Website, your account details or any files or other content, which is contained in your account.

In case of any non-compliance by you, Scrapabill retains the right to investigate the matter. During any investigations, funds in your account shall be frozen and the user shall not be able to access the same. On completion of the investigation, if in Scrapabill’s sole discretion the user has been found non-compliant, your account shall be deactivated and the funds in your account shall be transferred to your account.

In case of a criminal or civil breach which requires intervention from law enforcement, your account shall be deactivated and any funds in it shall remain frozen until the regulatory authorities allow them to be refunded to you. If you have questions about your account being deactivated, or need information on how to resolve it, please contact us at info @ scrapabill.com.

 

14. Your Information

We respect your privacy. Any personally identifiable information you may provide to Scrapabill via this Site is protected by the Privacy Policy associated with this Site. At the time of your account registration, you will receive a password. Please keep this secret, as you are entirely responsible to maintain the confidentiality of your password. You are responsible for all information given to us under your e-mail address in combination with your password. You must immediately notify us of any unauthorized use of your e-mail address and/or password, or any breach of security known to you.

 

15. Public Display of Information

Some of your activity on and through the Website is public, such as content you post publicly on the Website (including bills, bill descriptions, texts, financial stories, comments, photos, videos, images, trademarks, logos, brands or other materials you upload or post through the Services or share with other users or recipients). Other individuals reading such information may use or disclose it to other individuals or entities without our knowledge and without your knowledge, and search engines may index that information. We therefore urge you to think carefully about including any specific information you may deem private in content that you create or information that you submit through the Services. Personal information other than the required information should be masked on any bills posted by you.

 

16. Monitoring Rights

You understand and agree that we may monitor or review any information or content you post as part of a Service on our Website. We may delete any content or information, in whole or in part, that in our sole judgment violates this Agreement or may harm the reputation our Website. Although we reserve the right to review and remove content that violates these Terms of Use, such content is the sole responsibility of the member who posts it, and we cannot guarantee that all content will comply with this Agreement. If you see content on the Website that violates these Terms of Use, please report it.

 

17. Advertisements

In consideration for using the Website and our Services, you agree that we, our affiliates, and our third-party partners may place advertising on the Website. By submitting suggestions or feedback to us regarding our Services and Website, you agree that we may use and share such feedback for any purpose without compensating you.

 

18. Intellectual Property

The Website and its content are protected by applicable copyright, trademark, unfair competition and other laws and may not be used, copied, distributed, imitated or posted, in whole or in part, except as expressly provided herein. All images shown here have been digitized by us. No other party is authorized to reproduce or republish these digital versions in any format whatsoever without our prior written permission. All copyright, trademarks and all other intellectual property rights in all material or content supplied as part of this Site shall remain at all times vested in us.

 

19. Copyright Infringement of your Content

If you believe that your work has been copied and posted on the Service in a way that constitutes copyright infringement, please provide our Copyright Agent with the following information:

  • an electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest;
  • a description of the copyrighted work that you claim has been infringed;
  • a description of where the material that you claim is infringing is located on the Website (and such description must be reasonably sufficient to enable us to find the alleged infringing material);
  • your contact information, including telephone number and email address;
  • a written statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; and
  • a statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf.

Scrapabill will, upon internal investigation, terminate the accounts of repeat infringers.

 

20. Legal Compliance

You shall comply with all laws and regulations that are applicable to you in the jurisdiction you are based on and you will use the Site in compliance with these Terms and applicable law. You warrant and represent that you are not a person who is barred from using the Service under the laws of Canada, the United States or any other applicable jurisdiction– meaning that you do not appear on the U.S. Treasury Department’s list of Specially Designated Nationals or FINTRAC or face any other similar prohibition

 

21. Pre- Authorized Debit Agreement (For Canadian Users)

Payments shall be made using a pre-authorized payment service. You agree and approve Pre-Authorized Debit (PAD) from your bank account, credit card, or Interac card to top-up your support wallet using our third-party service. You authorise Scrapabill to debit funds for regular, bill support payments, or recurring payments and/or one-time payments based on your payment obligations to Scrapabill Management Ltd and your followers. You expressly waive any requirement including any legislative or regulatory requirement for pre-notification prior to such debit. Transaction dates that fall on a weekend or holiday will be processed the next business day.

 

22. Cancelling your Pre- Authorized Debit Agreement (For Canadian Users)

You may revoke your authorization at any time, subject to providing notice 10 business days before the next scheduled debit. You can obtain a sample cancellation form or more information on your rights to cancel a Pre- Authorised Debit Agreement at your financial institution or by visiting the www.payments.ca/paying-pre-authorized-debit. You can also reach out directly to us and cancel your authorization at info @ scrapabill.com with the subject “Cancel PAD”.

In the event any debit does not comply with this agreement, for example, if the debit was not withdrawn in accordance with this authorization or amounts were withdrawn after your consent was revoked, then, you will have the right to receive reimbursement for any debit that is not authorized or is not consistent with this clause based on the timeline set out by the Canadian Payment Association. To obtain more information on your recourse rights, contact your financial institution or the Canadian Payment Association. A claim to this effect must be made to your financial institution following the procedure it will provide for that purpose.

 

23. No Warranty

The information contained in the Website is provided on an “as is” and “as available” basis. Scrapabill may, in its sole discretion and at any time, discontinue the Website, or any part thereof, with or without notice. We assume no liability or responsibility for any errors or omissions in respect of the Website. Further, we do not represent or warrant that any aspect of the Website will work properly or will be continuously available. We hereby disclaim any and all warranties and representations, whether express or implied, oral or written, including, without limitation, any and all implied warranties of merchantability, reasonable care, security, quality, timeliness, availability, completeness, reliability, accuracy, and/or fitness for a particular purpose, in each instance in respect of the Website. Furthermore, we expressly disclaim any and all warranties of title and/or non-infringement in respect of the Website. If your jurisdiction does not allow disclaimer of warranties, then, this provision does not apply to you.

 

24. Termination of Account (Deactivation and Suspension)

You may terminate your account at any time, for any reason, by following the instructions in "Settings" on the Website, however if you use a third-party payment account, you will need to manage in app purchases through such account (e.g., iTunes, Google Play) to avoid additional billing. We may terminate your account at any time without notice if it believes that you have violated these Terms of Use. After your account is terminated, this Agreement will terminate, except for those provisions which shall generally by their interpretation survive such termination.


25. In-App Purchases

From time to time, we may offer products and services for purchase ("in app purchases") through iTunes, Google Play, carrier billing, Scrapabill direct billing or other payment platforms authorized by us. If you choose to make an in app purchase, you will be prompted to confirm your purchase with the applicable payment provider, and your method of payment (be it your card or a third party account such as Google Play or iTunes) (your "Payment Method") will be charged for the in app purchase at the prices displayed to you for the service(s) you've selected as well as any sales or similar taxes that may be imposed on your payments, and you authorize us or the third party account, as applicable, to charge you. If you purchase an auto-recurring periodic subscription through an in-app purchase, your Payment Method will continue to be billed for the subscription until you cancel. After your initial subscription commitment period, and again after any subsequent subscription period, your subscription will automatically continue for an additional equivalent period, at the price you agreed to when subscribing. If you want to change or terminate your subscription, you will need to log in to your third-party account (or Settings on Scrapabill) and follow instructions to terminate or cancel your subscription, even if you have otherwise deleted your account with us or if you have deleted the Scrapabill application from your device. Deleting your account on Scrapabill or deleting the Scrapabill application from your device does not terminate or cancel your subscription.

 

26. Direct Payments to Scrapabill

If you pay Scrapabill directly, Scrapabill may correct any billing errors or mistakes that it makes even if it has already requested or received payment. If you initiate a chargeback or otherwise reverse a payment made with your Payment Method, Scrapabill may terminate your account immediately in its sole discretion.

You may edit your Payment Method information by visiting Scrapabill and going to Settings. If a payment is not successfully settled, due to expiration, insufficient funds, or otherwise, and you do not edit your Payment Method information, terminate or cancel your subscription, you remain responsible for any uncollected amounts and authorize us to continue billing the Payment Method, as it may be updated. This may result in a change to your payment billing dates. In addition, you authorize us to obtain updated or replacement expiration dates and card numbers for your credit or debit card as provided by your credit or debit card issuer. The terms of your payment will be based on your Payment Method and may be determined by agreements between you and the financial institution, credit card issuer or other provider of your chosen Payment Method. If you reside outside of the Americas, you agree that your payment to Scrapabill will be through Scrapabill account.

 

27. Virtual Items

From time to time, you may be able to purchase or earn a limited, personal, non-transferable, non-sublicensable, revocable license to use "Virtual Items", which could include virtual products or virtual “coins” or other units that are exchangeable within the Service for virtual products (collectively, "Virtual Items"). Any Virtual Item balance shown in your account does not constitute a real-world balance or reflect any stored value, but instead constitutes a measurement of the extent of your license. All purchases and redemptions of virtual items made through the service are final and non-refundable. You acknowledge that Scrapabill is not required to provide a refund in respect of virtual items for any reason, and that you will not receive money or othercompensation for unused virtual items when an account is closed, whether such closure was voluntary or involuntary.

 

28. Limitation of Liability

Except where prohibited by law, in no event will we be liable for (a) any damages of any nature whatsoever resulting from, or related to, the loss, delay or inability to use the Website, the loss of any content obtained through the Website, or the inaccuracy of any content, or (b) any indirect, consequential, special, incidental or punitive damages whatsoever, including, without limitation, damages for loss of profits arising out of or in any way connected with these Terms of Use or otherwise arising out of the use or performance of the Website, in each of (a) and (b) above whether based in contract, tort, negligence, strict liability or otherwise.

 

29. Indemnity and Release

You shall indemnify and hold us harmless from any claim or demand, or actions including reasonable attorney's fees, made by any third party or penalty imposed due to or arising out of your breach of these Terms of Use or any document incorporated by reference, or your violation of any law, rules, regulations or the rights of a third party.

 

30. Severability

If any portion of these Terms of Use is held to be invalid or unenforceable by a court of competent jurisdiction, the invalid or unenforceable portion shall be modified in accordance with the applicable law as nearly as possible to reflect the original intention of the applicable provision, and the remainder of these Terms of Use shall remain in full force and effect. agree that disputes will be resolved by arbitration and you waive your right to a jury trial or to participate in a class action in any jurisdiction.

 

31. Waiver

The failure of Scrapabill to insist upon or enforce strict performance by you of any provision of these Terms of Use shall not be construed as a waiver of any provision or right. None of our rights or remedies conferred by these Terms of Use is exclusive of any other right or remedy conferred herein or by law or in equity.

 

32. Governing Law & Dispute Resolution

These Terms of Use are governed by and construed in accordance with the laws of Canada. Any dispute which arises in the course of or following the performance of the present contract will be definitively settled under the auspices of The Canadian Commercial Arbitration Centre, by means of arbitration and to the exclusion of courts of law, in accordance with its General Commercial Arbitration Rules in force at the time this contract is signed and to which the parties declare they have adhered. By using the Website, you agree that disputes will be resolved by arbitration and you waive your right to a jury trial or to participate in a class action in any jurisdiction.
